CaptivateClick Accounting Connector End-User License Agreement
Effective date: October 20, 2026
Parties, scope, and acceptance
This agreement governs the CaptivateClick Accounting Connector (the “Connector”), operated by CaptivateClick, Inc., a Delaware C Corporation (“CaptivateClick,” “we,” or “us”). Our business address is 1111B S Governors Ave STE 50889, Dover, DE 19904, United States. Our EIN is 36-5161221. Contact team@captivateclick.com.
The Connector is an application for authorized internal business accounting, available through quickbooks.captivateclick.com and approved clients. By expressly accepting this agreement during connection, or using the Connector after receiving notice of these terms, you agree to this agreement. If you act for an organization, you represent that you are authorized to bind it and authorize access to its accounting information. If you do not agree or lack that authority, do not connect or use the Connector.
The Connector Privacy Policy explains the processing of personal information. Acknowledging that notice is not blanket consent to unrelated processing. Intuit authorization is a separate technical step and does not replace acceptance of these terms.
License and permitted use
Subject to this agreement and applicable third-party rights, we grant authorized users a limited, nonexclusive, revocable, nontransferable right to use the operated Connector for approved internal accounting tasks involving companies they are authorized to access. The service is not offered for public resale. Connecting a third-party client company requires separate authorization from us, appropriate authority from that company, and any necessary agreements and notices.
CaptivateClick retains rights in its own software and materials. Your organization retains its rights in its accounting information. Open-source components remain subject to their respective licenses, including applicable MIT license rights and notices. This agreement does not override those licenses or transfer rights in Intuit’s or another provider’s intellectual property.
Accounts, authorization, and functionality
You need a supported QuickBooks Online subscription and an authorized company administrator to grant OAuth access. Intuit’s terms continue to govern QuickBooks and its APIs. Protect administrator passwords, API keys, authorized client accounts, and exported accounting information. You are responsible for access granted to others through credentials under your control. Tell us promptly about suspected compromise or incorrect access.
Depending on enabled tools and permissions, the Connector retrieves accounting records, generates reports, returns invoice PDFs, and creates, updates, deletes, or voids accounting records. Production actions affect real accounting data. The interface does not guarantee an additional confirmation prompt before every action. You must verify the connected company, permissions, transaction details, and intended changes before requesting an action and review its results afterward.
Maintain appropriate accounting records and backups and apply professional judgment to consequential decisions. Connector and assistant outputs may be incomplete or inaccurate and do not constitute accounting, tax, financial, or legal advice.
Responsibilities and restrictions
Use only information and accounts you are entitled to access. Obtain any required notices, permissions, and legal basis for personal information in accounting records. Use the Connector only for authorized purposes and in accordance with applicable law and applicable provider terms.
Do not use it for fraud, unauthorized access, security interference, bypassing access restrictions, selling accounting data, unrelated advertising, or unlawful processing. Do not share Intuit passwords, expose service credentials in assistant prompts, or provide unauthorized users with access.
Do not use QuickBooks information or derived information to train, fine-tune, or develop AI or machine learning models. Use an assistant only under provider terms and settings that prohibit that use of Connector data and meet applicable privacy and confidentiality obligations. Any permission required by Intuit for third-party AI access, custom MCP interfaces, or equivalent functionality must be obtained before that access is enabled. This agreement does not grant rights on Intuit’s behalf or represent Intuit approval.
Information processing and confidentiality
You authorize us to process information necessary to provide your requested Connector functions within your authorization, as explained in the Privacy Policy. That authorization does not transfer ownership or permit unrelated uses.
We treat nonpublic accounting information as confidential and limit access to authorized personnel and providers supporting the service, subject to applicable confidentiality and data protection obligations. Disclosure may be necessary where required by law or to protect legal rights. We do not sell connected accounting information or use it to train AI models.
The hosted service uses Cloudflare, Google Cloud, and Supabase. Requests and returned information are also available to a connected client or assistant and may be processed outside your device and retained by that provider. Review the Privacy Policy and the selected provider’s terms and account settings before granting access. Where required for processing personal information on another organization’s behalf, a separate data processing agreement must be in place; this agreement alone does not replace it.
Charges and third-party services
Authorized internal Connector access carries no separate Connector subscription fee under this agreement. A separately signed agreement may establish fees for additional services. QuickBooks, hosting, assistant, network, and other third-party charges remain governed by their own agreements.
The Connector is independently operated by CaptivateClick. Intuit is not a party to this agreement and does not provide Connector support or warranties. References to QuickBooks describe interoperability and do not imply endorsement, sponsorship, certification, or approval. Intuit, QuickBooks, and other trademarks belong to their respective owners.
Availability depends on Intuit and the other services involved. Their terms and restrictions apply separately. We do not promise uninterrupted access, continued API availability, or a particular accounting or business outcome.
Support, maintenance, and changes
Contact adam@captivateclick.com for Connector support. Contact team@captivateclick.com for privacy requests, connection removal, or security concerns. No response-time or service-level commitment applies unless separately agreed in writing.
We may maintain, change, restrict, or suspend functionality for security, reliability, legal compliance, provider changes, or loss of authorization. We provide reasonable notice where practicable and required. We do not use service changes to expand data use beyond the applicable authorization and legal basis.
Termination and disconnection
You may stop using the Connector and revoke authorization through the administrator disconnect page, QuickBooks connected-app controls, or by asking us for assistance. We may suspend or terminate access for misuse, lost authorization, security concerns, or legal or platform requirements.
When the connection is successfully disconnected through the hosted Connector, we revoke its authorization and delete the active stored credentials and connection metadata. Other retained information is handled under the Privacy Policy. Disconnection does not reverse completed transactions, delete original QuickBooks records, or automatically erase exported documents, independent client histories, or legally required records. Stopping a process or closing a client alone does not revoke authorization.
When access ends, your license to use our operated service ends. Applicable open-source license rights remain unaffected. Provisions concerning confidentiality, ownership, permitted retention, accrued rights, and liability survive where relevant.
Warranties and liability
To the extent permitted by applicable law, the Connector is provided “as is” and “as available,” without warranties of uninterrupted operation, accuracy, merchantability, fitness for a particular purpose, or error-free results. You remain responsible for reviewing requested accounting actions and their results.
To the extent permitted by law, neither party is liable under this agreement for indirect, incidental, special, or consequential losses, including lost profits, arising from use or unavailability of the Connector. This exclusion does not apply to fraud, intentional misconduct, gross negligence, breach of confidentiality, unlawful misuse of personal information, or liability that cannot legally be excluded. Nothing limits mandatory statutory rights or an individual’s data protection rights. A separately signed agreement controls where it expressly addresses liability for the Connector.
Governing law and disputes
This agreement is governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws principles and subject to mandatory applicable protections. Unless applicable law requires another forum, disputes are subject to the jurisdiction of the state and federal courts located in Delaware. Neither this clause nor another provision excludes rights or remedies that applicable law does not permit the parties to waive.
Updates and general terms
We publish updated terms with an effective date and provide notice of material changes. Where applicable law or the nature of a change requires renewed acceptance, we obtain it before the change applies to continued use. If you do not accept updated terms, stop using and disconnect the Connector.
If a provision is unenforceable, the remaining provisions continue to the extent permitted by law. Failure to enforce a provision is not a waiver. This agreement and any applicable separately signed agreement govern your use of the operated Connector; separately signed terms control where they expressly conflict.
